Contract Analyst

Position Overview

The Contract Analyst is responsible for providing review of customer contracts, agreements, and other initial customer relationship set-up documentation and activities in the US. In accord with company contracting policies and practices, the Contract Analyst will be responsible for reviewing and negotiating contracts and modifications, and completing initial and ongoing customer relationship formation documents, and interfacing with our Proto Labs Sales, Customer Service, Finance, International Compliance, International Logistics, and other internal and external customers. Works with and reports to the company Director of Contracts and Compliance. Works with other members of the management team to meet customers’ expectations on the timely completion of contracts and contract related documents required by customers in setting up initial and ongoing business relationships.


  • Reviews and negotiates Non Disclosure Agreements with customers and suppliers. 
  • Perform contract analysis and reviews, which include drafting and negotiating contract modifications and amendments as necessary on commercial and federal government contracts and subcontracts. 
  • Review and complete customer certification documents and surveys. 
  • Assists in identification, development and implementation of new contract policy and processes. 
  • Ensures the proper oral and written communications of contract issues to customers and the appropriate areas of the company. 
  • Limited daily export compliance administration activities, e.g., review export questionaires completed by prospective customers.


  • Four or more years’ experience in a contract administration role, preferably in a rapid-growing custom manufacturing environment and in a corporate contracts management or legal department.
  • Government contract experience desirable, but not required. 
  • Bachelor’s degree in a related field.
  • Paralegal certificate from an ABA approved program desirable. 
  • Proven ability to set clear priorities and demonstrated organizational skills. 
  • A detail oriented individual with strong written communication skills. 
  • Ability to multi-task. 
  • Expertise in contract law and practical commercial and U.S. Government contracts (FAR-DFARS) and risk management practices.
  • Entrepreneurial spirit and ability to effectively collaborate with strong leaders in emerging environment. 
  • Excellent oral and written (e.g., red-lining and tracked changes in contracts) communication skills, positive attitude and strong sense of urgency. 
  • Proficient in computer applications such as Microsoft Office (e.g., WORD, PowerPoint, EXCEL) 
  • Experience and/or knowledge of export (Department of Commerce-BIS-EAR and Department of State-DDTC – ITAR) and other international trade compliance and regulations, desirable, but not required. 
  • This position is subject to Department of State – DDTC – ITAR and related rules and government contract customer security requirements. Therefore, all applicants must be U.S. Persons within meaning of ITAR. ITAR defines a “U.S. Person” as a U.S. citizen, permanent resident (has “Green Card”), political asylee or refugee.


Physical Demands:

While performing the essential duties of this job, the employee is regularly required to sit; use a computer keyboard, monitor and mouse, telephone and printer; reach with hands, and arms, talk, see and hear. The employee is occasionally required to stand, walk, stoop or kneel and must occasionally lift and/or move up to 25 pounds.


Work Environment:

Indoors (A/C); nonsmoking; the majority of this job function is performed in an office setting requiring normal safety precautions. However, there may be job duties that require the employee to spend time in the manufacturing areas exposed to machinery and noise; eye protection occasionally required.
