Title Controller & Compliance Officer
Overview Our client is an investment fund manager focused on sourcing and underwriting secured mortgage products to serve the increasing demand of investors in today’s myriad of mutual funds and investment fund offerings.
Investments are secured through mortgages against real estate property, providing a higher than average return while minimizing the risk.
The Firm’s mortgage investment funds can be purchased as a direct investment on a single property (syndicated Mortgage), or through purchasing preferred shares in a pool of mortgages, typically a Mortgage Investment Corporation (MIC) managed by our client.
The firm’s objective is to source and structure secured real estate loans to property owners and developers who qualify under the lending criteria and process. Loans typically range from $250,000 to $5,000,000, with a term of 1 to 3 years and a Loan to Value Ratio of not more than 75% and are primarily focused in Western Canada
As a result of the increased compliance and reporting requirements for exempt market securities and our client’s growth the position of Controller & Compliance Officer is being created.
Responsibilities The position of “Controller and Compliance Officer” is a newly created position.
The position is intended to be a development position to prepare the incumbent for succession to the CFO role. Initially the position will take on a significant amount of the daily operational elements so that the current CFO can focus on long range planning, structuring new deal arrangements, new project planning and fund development.

It is anticipated that the firm is going into a growth phase with the addition of more funds and therefore more fund administration.


Reporting to the CFO core oversight responsibilities of the position will include:
• Monthly closing on all MICs
• Quarterly reporting with an MD & A approach
• Revisions to Offering Memorandum
• Securities and Compliance reporting
• Investor reporting and communications
• Business process development and management.
• General Office Management and oversight.

During the first 3 months the incumbent will be expected to learn the systems and processes, develop a good working relationship with the staff, oversee transaction processing and reporting.

During the 3 to 6 month period the incumbent should be able to manage all the processes related to management financial and compliance reporting.

After 12 months in the position the incumbent will be comfortable with and understand the different types of deals and will be able to set them up within the established systems and in accordance with the lending agreement.

Reporting to this position will be an administrative team of approximately five and could grow to 10 as additional funds come on stream to be administered.

This position represents a ground floor opportunity with strong potential for personal and professional growth.
Requirements The ideal candidate for this position will possess a “Chartered Accountant” or CMA designation together with of 8 to12 year’s leadership experience ideally within the securities industry and who will bring the skill and knowledge of industry documentation requirements, compliance and reporting.

The person moving into this position will be required to complete (if not already in place) the CSC, Partners, Directors and Officers and Compliance Officer Certifications.

Going forward the individual will be encouraged to become “A student of the Business” by participating in industry seminars, committees and education as well as active membership in appropriate industry organizations.
